These terms govern your access to and use of TracesOn. By creating an account or using the platform, you agree to them on behalf of yourself and, if applicable, your organization.
TracesOn is a compliance evidence platform that helps organizations collect, organize, and track evidence for audits such as SOC 2, ISO 27001, and SOC 1, and helps audit firms manage evidence requests across client engagements.
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials. You're responsible for all activity that occurs under your account, and for promptly notifying us of any unauthorized use.
You and your organization retain ownership of all evidence, controls, and other content you submit to TracesOn ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide the service to you. We act as a processor of Customer Data, not an owner of it.
Paid plans are billed in advance on the cycle selected at signup (see Pricing). Fees are non-refundable except as required by law or expressly stated at signup. We may change pricing on renewal with reasonable advance notice. Free trials convert to a paid subscription only if you affirmatively choose a plan — we will not auto-charge a card that wasn't provided during trial signup.
TracesOn integrates with third-party tools you choose to connect, such as Jira. Your use of those tools remains subject to their own terms. We're not responsible for the availability or behavior of third-party services outside our control.
TracesOn and its underlying software, design, and branding are our intellectual property (or licensed to us). These terms don't grant you any rights to our trademarks or brand assets beyond what's needed to use the service as intended.
Each party will protect the other's confidential information with the same degree of care it uses for its own confidential information, and will not disclose it except as needed to perform under these terms or as required by law.
TracesOn is provided "as is." While we build the platform to support your audit process, we don't guarantee that using TracesOn will result in a successful audit outcome or satisfy any specific auditor's requirements — that determination rests with your auditor.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages, and each party's total liability arising from these terms will not exceed the amount paid by you to us in the twelve months preceding the claim.
You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach of these terms, including non-payment, after reasonable notice where practicable.
We may update these terms from time to time. We'll provide reasonable notice of material changes before they take effect.
These terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in Minnesota, and each party consents to personal jurisdiction and venue there.
